Terms and Conditions of Use (TCU)

These Terms and Conditions of Use (hereinafter "TCU") are intended to govern access to and use of the website of NexGen Incubator SRL.

1. Purpose and Scope

The TCU define the rules of use of the website by each user, as well as the rights and obligations of NexGen Incubator and the users.

2. Services Provided

NexGen Incubator offers services in the fields of coaching, training, and incubation of startups in the agritech, foodtech, greentech, and AI sectors.

3. User Obligations

The user agrees to use the website in compliance with Belgian and European legislation, not to distribute illegal content, and not to infringe the rights of third parties.

4. Intellectual Property

All content on the website, including texts, images, logos, and videos, is protected by copyright and remains the exclusive property of NexGen Incubator, unless otherwise stated.

5. Liability

NexGen Incubator cannot be held liable for misuse of the website, service interruptions, or any indirect damage resulting from access to the website.

6. Personal Data and Cookies

Use of the website implies the processing of personal data in accordance with our privacy policy and our cookie policy.

7. Applicable Law and Jurisdiction

These TCU are governed by Belgian law. Any dispute shall be submitted exclusively to the courts of Brussels.

General Support Terms (GST)

1. Purpose of the Agreement

This agreement formalizes the terms of the support provided by NEXGEN INCUBATOR SRL (hereinafter “NexGen” or the “Incubator”) to the Project Owner in connection with the development of their entrepreneurial project. It covers, in particular:

  • Strategic, financial and legal support for the Project Owner,
  • Access to resources, tools, workspaces and professional networks,
  • Monitoring of the project’s development stages,
  • Eligibility for third-party financing arrangements facilitated by NexGen.

2. Term and Renewal of the Agreement

2.1 Initial Term

This agreement takes effect on the date of signature and applies for an initial minimum term of twelve (12) months, which may be extended to 18, 24 or 36 months depending on the offer selected by the Project Owner.

2.2 Automatic Renewal

The agreement is automatically renewed upon expiry for a period identical to the initial term, unless the Project Owner notifies NexGen in writing of their objection at least 30 days before expiry.

2.3 Extension or Reduction

An early extension may be negotiated by amendment, subject to a positive assessment of the project and the Project Owner’s commitment.

3. Support Terms

3.1 Services Provided by NexGen

The Incubator undertakes to provide:

  • Strategic advisory sessions,
  • Assistance with legal, administrative and financial structuring,
  • Access to operational tools and professional software,
  • Thematic training,
  • A network of experts and institutional partners.

3.2 Project Owner’s Commitments

The Project Owner undertakes to:

  • Actively participate in the Incubator’s activities,
  • Regularly report on the progress of their project,
  • Comply with the financing and repayment terms, where applicable.

4. Financial Terms

4.1 Support Offers

Support is invoiced according to the offer selected by the Project Owner from the packages proposed by NexGen, namely, for information purposes and subject to updates:

  • NexGen Boost – €99 excl. VAT/month: 1 mentoring session/month, unlimited access to online training, email support, coworking 10 days/month, discounted event access.
  • NexGen Growth – €300 excl. VAT/month: 2 mentoring sessions/month, practical workshops, personalized growth plan, unlimited coworking, tailored advice, priority presentation during pitch sessions.
  • NexGen Elite – €500 excl. VAT/month: tailored specific assignments, direct access to high-level experts, enhanced individual support, personalized action plan.
  • Flexible option – €99 excl. VAT per à la carte module (4-module package: €300 instead of €500), for a one-off or targeted need.

The details and current prices of each offer are available on NexGen’s official website and are communicated to the Project Owner before signing the agreement. No membership fee is payable in addition to the price of the selected offer.

4.2 Third-Party Financing

Third-party financing may be facilitated by NexGen, which is not a credit institution.

4.3 Payment Commitment

Any financed commitment entered into under this agreement is enforceable. The Project Owner undertakes to comply with the agreed repayment schedule.

5. Confidentiality

Information exchanged under this agreement is strictly confidential and shall remain protected for five (5) years from the end date of the incubation period.

6. Termination and Exit Clause

6.1 Grounds for Termination

Either party may terminate the agreement as of right in the event of:

  • A serious breach of obligations,
  • Abandonment or inactivity of the project,
  • Failure to comply with payment terms,
  • Damage to the reputation or interests of NexGen or its partners.

6.2 Procedure

Termination shall take effect 30 days after written notice and a formal demand that has remained unremedied.

6.3 Exit Clause

In the event of early termination at the initiative of the Project Owner or due to their breach:

  • The Project Owner must immediately pay the outstanding financial balance for the committed contractual term.
  • A penalty clause of 15% of the total contractual amount shall apply as compensation.
  • If financing facilitated by NexGen has been obtained, the repayment installments remain due.

7. Governing Law and Dispute Resolution

Any dispute relating to the validity, interpretation or performance of this agreement shall be resolved through mediation. If no amicable agreement is reached, the courts of Brussels shall have exclusive jurisdiction.

This agreement is governed by Belgian law.
